1. Who we are
Nomikos & Partners LLC ("the Firm", "we") is a Cyprus law firm with registered office in Limassol. The Firm is licensed by the Cyprus Bar Association; our corporate and administrative services activities are regulated by the Institute of Certified Public Accountants of Cyprus (ICPAC).
2. Scope of engagement
Each matter is opened on the basis of a written engagement letter confirming the scope, the responsible partner, the fee basis and any agreed cap. We do not act outside the scope set out in that letter without your prior written instruction.
Information provided through the client portal — including onboarding forms, draft applications and uploaded documents — is treated as part of the engagement file from the moment it is submitted.
[DRAFT — pending firm approval] Where the Firm issues an engagement letter through the client portal, the letter may be accepted electronically by clicking "Accept" on the letter page. Electronic acceptance has the same effect as a signed original: we record the exact text accepted (a cryptographic fingerprint of the document), the timestamp, and technical evidence of the acceptance. Declining a letter ends the proposal without obligation.
3. Fees and disbursements
Fees are quoted in EUR and may be charged on a fixed-fee, capped or hourly basis depending on the matter. Government fees, translations, courier and other disbursements are passed through at cost. VAT applies where required by Cyprus law.
Invoices are payable within 14 days. We may pause work on overdue matters after written notice.
[DRAFT — pending firm approval] Where a payment request is issued through the client portal, card payments are processed by Revolut on its own secure checkout. We receive confirmation and payment metadata only; we never see or store your card number. Card payments are subject to the processor's terms in addition to these terms.
4. AML / KYC obligations
As a regulated firm we are required to identify and verify every client, ultimate beneficial owner and authorised signatory before we can act. This includes collecting identity documents, proof of address, source-of-funds evidence and ongoing monitoring of the relationship.
We comply with the Cyprus Prevention and Suppression of Money Laundering Activities Law and applicable EU AML directives. Where the law requires it we may be obliged to file a report with MOKAS (the Cyprus FIU) without notifying you.
5. Confidentiality and legal privilege
All communications between you and the Firm are protected by advocate–client privilege under Cyprus law. We do not disclose client information to third parties except where you instruct us to, where it is necessary to provide the service, or where we are legally obliged to do so.
6. Conflicts of interest
We run a conflicts check before opening every matter. If a conflict arises during an engagement we will inform you promptly and discuss how to proceed.
7. Limitation of liability
Our aggregate liability in respect of any matter is limited to the amount specified in the engagement letter, or, in its absence, to the value of the fees paid for that matter in the 12 months preceding the claim. We do not exclude liability for fraud or for any liability that cannot be excluded under Cyprus law.
8. Termination
Either party may end an engagement on reasonable written notice. Fees and disbursements incurred up to the date of termination remain payable.
9. Governing law
These terms are governed by Cyprus law. The courts of Cyprus have exclusive jurisdiction over any dispute.
